Agreement to Terms

Services Description

Krom Digital provides AI-powered solutions including but not limited to:

• Social Media Management including content creation and automated posting
• Podcast Production including editing and distribution services
• AI Influencer creation and management

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

User Registration and Account

To access certain features of our services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Fees and Payment

Our services are provided on a subscription basis with various pricing tiers. By subscribing to our services, you agree to:

Cancellation and Refunds

• You will retain access to services until the end of your current billing period
• No refunds will be provided for partial months or unused services
• Your data will be retained for 30 days after cancellation, after which it may be permanently deleted

Refunds may be issued at our sole discretion in cases of service failure or billing errors.

Intellectual Property Rights

Unless otherwise indicated, the site and services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), are owned or licensed by us and are protected by copyright, trademark, and other intellectual property laws.

Content created by our AI services on your behalf (such as social media posts, podcast edits, or voice agent scripts) becomes your property upon creation, subject to your continued compliance with these Terms.

User Content and Data

You retain all rights to content and data you provide to our services ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of providing our services to you.

You represent and warrant that:

• You own or have the necessary rights to all User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with all applicable laws and regulations

Prohibited Uses

You may not access or use the services for any purpose other than that for which we make the services available. Prohibited uses include:

• Violating any applicable laws or regulations
• Infringing on intellectual property rights of others
• Transmitting harmful code, viruses, or malware
• Engaging in unauthorized framing or linking
• Attempting to bypass security measures
• Using services for spam or unsolicited marketing

Service Level and Availability

While we strive to provide reliable services, we do not guarantee that our services will be uninterrupted, timely, secure, or error-free. We reserve the right to:

We are not liable for any loss or damage resulting from service interruptions or modifications.

Limitation of Liability

To the fullest extent permitted by law, Krom Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from the services
• Any bugs, viruses, or other harmful code transmitted through the services
• Any errors or omissions in any content

Our total liability shall not exceed the amount you paid us in the 12 months prior to the event giving rise to liability.

Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use of and access to the services
• Your violation of any term of these Terms and Conditions
• Your violation of any third-party right, including intellectual property rights
• Any User Content you provide

Governing Law

These Terms shall be governed by and defined following the laws of the United States. Krom Digital and yourself irrevocably consent that the courts shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
